These Terms and Conditions (hereinafter, the “T & C”) regulate the use of the
disclosure platform (hereinafter, the “Portal”) that Capital Market Development Authority (hereinafter, “CMDA”) makes available to portal users. Those who log in to this portal and visit this portal (hereinafter, the “User”) express the full and unreserved acceptance of each and every one of the T & C in the version published by CMDA at the time in which the User accesses the Portal. Consequently, the User must carefully read the Conditions each time they intend to use the Portal.
By using this portal, the User declares and agrees to this T & C. If the User do not agree with this clause, please do not use or visit this Portal.
The use of certain services offered to Users through the Portal is subject to their own particular conditions that, depending on the case, replace, complete and/or modify the T & C (hereinafter, the “Particular Conditions”). Before using these services, therefore, the User must also carefully read the corresponding Particular Conditions.
Likewise, the use of the Portal is also subject to all the notices, regulations of use, and instructions made known to the User by CMDA, which complete the provisions of these T & C.
The User agrees to use the Portal and the Services in accordance with the law, these T & C, as well as morals and good customs.
The User undertakes to refrain from using the Portal and the Services for illicit purposes or effects, contrary to the provisions of these T & C, harmful to the rights and interests of third parties, or that in any way may damage, disable, overload or deteriorate the Portal and the Services or prevent the normal use or enjoyment of the Portal and the Services by Users and other parties.
Use of the Portal: access to this means that User have
accepted that the use that the user will make of this Portal, its Contents, and
the information contained in it will have legitimate and legal purposes, and
will be made in compliance with these T & C and all and any applicable
laws, in any case, under user’s sole responsibility. Particularly but not
exclusively, the use of this Portal, its Contents and the information contained
in the Portal is limited by the following: User agree that user will not use
this Portal, its Contents or the information contained in it, to: (a) transmit
to third parties or in any way publish information that is false, harmful,
hostile, abusive, irritating, problematic, threatening, devious, defamatory,
vulgar, obscene, pornographic, unfounded, hateful or harmful, or for which
there are no due legal or contractual authorizations; (b) cause harm to minors
or promote or effect physical or material damage to any person or group of
natural and legal persons, or to animals; (c) transmit or emit material that
contains computer viruses or any other code, computer program or application
intended to interrupt, destroy, restrict or impair the functionality of
computers, computer programs, information systems, telecommunications networks
or infrastructure and services from third parties; (d) intentionally or unintentionally
violate or breach any applicable national, local, state or international law,
including but not limited to privacy and data protection standards; (e)
collect, save and manage personal data about natural and legal persons without
the corresponding authorization and in breach of applicable laws; (f) execute,
plan, arm, structure or carry out practices or activities of a criminal nature;
(g) infringe the intellectual property rights of CMDA or third parties.
The modification, reproduction, publication or transfer of
any Content to other people or its use for any purpose is prohibited except to
the extent permitted by law. All content, elements, and information on this Portal/Site
including all text, format, images, music, brands, logos, signs, trade names,
sounds, graphics, videos, animation, and other materials on this Portal are the
property of CMDA. Some of the Contents are protected by copyright and trademark
laws. Any unauthorized use of the Services and Contents of the Portal that
violates the property and intellectual property rights of CMDA or third parties
may imply the initiation of the corresponding legal actions by the holders of
the rights. Access to or use of this Portal will not imply in any way the
granting or denial of any license, concession, or right to use any of the
brands, names, logos, designs, or Contents protected by the intellectual
property rights of CMDA or from any third party, as appropriate.
In the event that any User or third party considers that any
of the Contents has been entered in the Portal in violation of their
intellectual property rights, they must send a notification to CMDA containing
the following points: (a) personal data: name, address, telephone number and
email address of the claimant; (b) authentic signature or equivalent, with the
personal data of the owner of the intellectual property rights allegedly
infringed or of the person authorized to act in the name and on behalf of the
owner of the intellectual property rights allegedly infringed; (c) precise and
complete indication of the Contents protected by the intellectual property
rights allegedly infringed, as well as their location on the Portal; (d)
express and clear declaration that the use of the indicated Contents has been
made without the consent of the owner of the intellectual property rights
allegedly infringed.
CMDA does not grant any license or authorization of use of
any kind on its and third-party industrial and intellectual property rights or
on any other property or right related to the Portal, the information,
Services, or the Contents to any User.
To prevent unauthorized access or disclosure, as well as to
ensure the correct storage and use of information, we have placed the
information in an appropriate place, with electronic and physical security,
reasonably technically available in the market, that guarantees its
confidentiality.
We may use public companies information for the purposes of
conducting market research. We will not share this information with third
parties, except those absolutely essential to fully comply with the CDOI.
By entering
this Portal, the User declares that the user accepts and knows that, any
information provided to the CMDA disclosure platform will be used exclusively
within the structure of CMDA and as per CMDA CDOI Regulation.
Listed companies may at any time correct and/or update the
information that is published in this portal.
This portal display
information provided by the listed companies. CMDA does not guarantee the legality, reliability, and
usefulness of the information provided by third parties (eg. Listed companies)
through the Portal.
CMDA EXCLUDES ANY LIABILITY FOR DAMAGES OF ANY NATURE THAT
MAY BE DUE TO THE LEGALITY, RELIABILITY, AND USEFULNESS OF THE INFORMATION
PROVIDED BY THE LISTED COMPANIES.
CMDA does not guarantee the availability and continuity of
the Portal and the Services. When possible, CMDA will previously warn of
interruptions in the operation of the Portal and the Services.
CMDA reserves the right to deny or withdraw access to the
Portal and/or the Services, at any time and without prior notice to those Users
who breach these T & C or the Particular Conditions that may be applicable.
CMDA does not control or guarantee the absence of viruses or
other elements in the files/documents provided by third parties through the
Portal that may cause alterations in the user’s computer system (software and
hardware) or in electronic documents and files stored in the user’s computer
system.
The User who is in breach will be liable for damages of any
kind that CMDA may suffer, directly or indirectly, as a consequence of the breach
of any of the obligations derived from the T &C or the law in relation to
the use of the Portal.
These General Conditions are governed by the law of the
Republic of Maldives.
CMDA and the User, expressly waiving any other jurisdiction,
submit to that of the competent Courts and Tribunals of the Republic of
Maldives.
The provision of the Portal service and the other Services
has, in principle, an indefinite duration. CMDA, however, is authorized to
terminate or suspend the provision of the Portal service and/or any of the
Services at any time, without prejudice to what has been provided in this
regard in the corresponding Particular Conditions. When it is reasonably
possible, CMDA will give prior notice of the termination or suspension of the
provision of the Portal service and of the other Services.
CMDA reserves the right to unilaterally modify, at any time
and without prior notice, the presentation and configuration of the Portal, as
well as the Services and the conditions required to use the Portal and the
Services.
CMDA reserves the right, at its discretion, to change,
modify, add or remove portions of this T & C at any time, for which it is
recommended that user periodically consult this document and verify the last
update date.
